Terms & Conditions of Sale

1. Who we are

This website is operated by SIA "ECO" ("we", "us", "SIA ECO"), a limited liability company registered in the Republic of Latvia under registration number 40203723108, with its registered office at Priežu iela 6 - 3, Rīga, LV-1005, Latvia. Our VAT number is LV40203723108.

2. Business customers only

We supply goods exclusively to businesses acting in the course of their trade. By placing an order you confirm that you are purchasing as a business, that you are authorised to bind your company, and that you are not a consumer. Consumer protection rights under EU distance selling legislation, including the 14-day right of withdrawal, do not apply to these transactions.

We may decline to open an account or accept an order at our discretion, including where verification of your company details is unsuccessful.

3. Prices and quotations

• All prices are quoted in EUR and exclude VAT, freight, insurance, duties and import charges unless expressly stated.
• Prices displayed to account holders are indicative and subject to confirmation on quotation. Wholesale electronics pricing moves frequently.
• A written quotation is valid for 72 hours from issue unless a different period is stated on the quotation itself.
• Volume pricing tiers apply and are confirmed at quotation stage.

4. Orders and contract formation

Your order is an offer to purchase. A binding contract is formed only when we issue an order confirmation or proforma invoice. Stock is allocated to your order at that point and is not reserved beforehand. Where stock becomes unavailable between quotation and confirmation we will offer an alternative or cancel the affected line without liability.

5. Payment

• New accounts trade on a prepayment basis. Payment is by SEPA transfer or international wire against a proforma invoice.
• We do not accept cash, cheques or cryptocurrency.
• Goods are allocated on receipt and clearance of cleared funds. Bank charges are borne by the payer.
• Credit terms may be granted in writing to established accounts following credit assessment, and may be withdrawn at any time.
• Overdue invoices accrue statutory late payment interest under Latvian law from the due date until payment.

6. VAT treatment

• Latvian buyers: invoiced with Latvian VAT at the prevailing rate.
• VAT-registered businesses in other EU member states: supplied under the reverse-charge mechanism, subject to validation of your VAT number in the VIES system. You are responsible for accounting for VAT in your own member state.
• Non-EU buyers: supplied as zero-rated exports with full customs documentation. Import duties and taxes in the destination country are your responsibility.

If a VAT number provided to us proves to be invalid, we reserve the right to invoice the applicable Latvian VAT retrospectively.

7. Delivery, title and risk

Delivery terms are agreed per order and stated on the order confirmation, using Incoterms 2020. Unless otherwise agreed, goods are supplied ex-works from our Rīga facility.

Risk in the goods passes to you in accordance with the agreed Incoterm. Title in the goods does not pass to you until we have received payment in full, notwithstanding delivery or passing of risk.

Delivery dates are estimates given in good faith and are not of the essence. We are not liable for delays caused by carriers, customs authorities or events outside our reasonable control.

8. Description and grading

Goods are supplied to the grade stated in your order confirmation and batch inspection report, as defined on our grading standards page. Photographs on this website are illustrative and do not represent the specific units supplied. Specifications are provided by manufacturers and suppliers and are believed accurate but are not warranted beyond the stated grade and specification.

9. Inspection, returns and warranty

Your inspection window, DOA cover, warranty terms and the returns procedure are set out in full in our Return Policy, which forms part of these terms.

10. Liability

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded.

Subject to that, our total aggregate liability arising out of or in connection with any order, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the invoice value of the goods giving rise to the claim.

We are not liable for indirect or consequential loss, loss of profit, loss of anticipated savings, loss of business opportunity, loss of goodwill, or loss arising from your onward resale of the goods.

11. Intellectual property and trademarks

All trademarks, brand names and product names referenced on this website are the property of their respective owners. SIA ECO is an independent wholesale distributor and is not affiliated with, authorised by, endorsed by or sponsored by any manufacturer named on this site. References to brands are made solely to describe the goods offered.

You may not use our name, logo or website content without our prior written consent.

12. Compliance and export control

You are responsible for ensuring that your purchase, import and onward supply of goods complies with all applicable laws, including export control, sanctions and product compliance regimes. You warrant that you will not resell or divert goods in breach of European Union sanctions or export control legislation. We may refuse or cancel any order that we believe would breach such requirements.

Goods placed on the EU market carry the applicable CE marking and comply with WEEE and RoHS obligations. Where you import goods into another jurisdiction, compliance obligations in that jurisdiction fall to you as importer.

13. Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including war, civil unrest, sanctions, epidemic, natural disaster, industrial action, carrier failure, energy or component shortage, or the failure of a supplier to deliver.

14. Data protection

We process personal data in accordance with the General Data Protection Regulation (EU) 2016/679 and Latvian data protection law. See our Privacy Policy for details.

15. Governing law and jurisdiction

These terms and any dispute arising out of them are governed by the laws of the Republic of Latvia. The courts of the Republic of Latvia have exclusive jurisdiction, save that we may bring proceedings to enforce a judgment in any competent jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16. Changes to these terms

We may amend these terms at any time by publishing an updated version on this website. The terms applicable to your order are those in force at the date of your order confirmation.
